Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DokPath platform and services ("Service") provided by DokPath Inc. ("DokPath", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and "you" refers to that organisation.

1. Acceptance of Terms

By creating an account, accessing the Service, or authorising your employees or contractors to access the Service, you confirm that you have read, understood, and agreed to these Terms, our Privacy Policy, and any applicable Data Processing Agreement ("DPA").

If you do not agree to these Terms, you must not access or use the Service. If you have entered into a separately negotiated Master Service Agreement ("MSA") with DokPath, the terms of that MSA shall take precedence over these Terms to the extent of any conflict.

2. Description of Service

DokPath is an AI-powered software-as-a-service ("SaaS") platform that enables maintenance teams in aviation, railway, oil and gas, and other critical industries to search, access, and manage technical documentation. The Service includes:

  • Natural language query interface for indexed technical documents
  • Multilingual document translation and assistant capabilities
  • Technical OCR for legacy and scanned documents
  • Interactive step-by-step maintenance checklists
  • Visual component search via device camera
  • Compliance and audit trail report generation
  • Encrypted offline vault for field operations

DokPath is not a regulatory authority, a certified maintenance organisation, or a publisher of approved maintenance data. The Service does not create, certify, or approve maintenance procedures.

3. Tool, Not Authority

Critical Notice — Read Before Use

DokPath is an information retrieval tool. It is NOT a substitute for approved maintenance data, certified technician judgment, or regulatory authority.

Every response generated by DokPath must be verified against the primary source document before any maintenance action is taken. DokPath surfaces information from documents you have uploaded — it does not independently verify that those documents are current, approved, or applicable to the specific configuration of your equipment.

The Accountable Manager, the certifying staff, and the approved maintenance organisation bear sole responsibility for all maintenance decisions and actions. DokPath accepts no liability for maintenance outcomes.

Use of the DokPath Service does not constitute compliance with any regulatory requirement unless separately validated by your organisation's Quality Manager and the relevant regulatory authority. DokPath outputs are reference aids, not regulatory approvals.

4. Approved Source Data Responsibility

The quality and accuracy of DokPath outputs are directly dependent on the documents you upload. You are solely and exclusively responsible for:

Document Accuracy and Currency

Ensuring that all documents uploaded to DokPath are accurate, current, and correspond to the approved maintenance data in effect for your specific equipment configuration, serial numbers, and modification status.

Correspondence with Approved Data

Verifying that the documents uploaded correspond to the currently approved maintenance data, including all applicable service bulletins, airworthiness directives, engineering orders, and amendments.

Response Validation

Validating that every AI-generated response corresponds to the revision number and amendment status of the applicable approved document before any maintenance action is commenced.

DokPath provides source citations (document title, revision, and page number) with every response to facilitate this validation. These citations do not relieve you of the obligation to verify.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following uses are expressly prohibited:

Sole reliance without human verification: Using DokPath as the sole authority for any maintenance action on aircraft, railway rolling stock, or industrial installations without independent review against the approved source document by a qualified, authorised person.

Unauthorised document upload: Uploading documents that you do not have the legal right to upload, process, or share, including third-party proprietary manuals without a valid licence or authorisation from the document owner.

Attempted data extraction: Attempting to access, probe, or extract data belonging to other DokPath customers through any means, including but not limited to prompt injection, API manipulation, or network interception.

Real-time safety control systems: Integrating DokPath outputs into real-time safety-critical control systems, automated flight management systems, or any system where an erroneous output could directly cause physical harm without human review.

Reverse engineering: Attempting to reverse engineer, decompile, disassemble, or derive the source code of the DokPath platform.

Misrepresentation: Representing DokPath AI outputs as official regulatory approvals, certified maintenance instructions, or approved data sources without independent verification.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and may expose you to legal liability. DokPath reserves the right to investigate any suspected violations.

6. Subscription Plans

DokPath offers the following subscription tiers: Starter, Pro, and Enterprise. Specific feature inclusions and limits for each tier are detailed on our Pricing page.

Billing and Payment

Subscriptions are billed monthly or annually in advance. By providing payment information, you authorise DokPath to charge the applicable fees to your payment method on a recurring basis. All fees are quoted in USD and are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies imposed by your jurisdiction.

Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting legal@dokpath.com. Cancellation takes effect at the end of the current billing period. Monthly subscriptions are not subject to pro-rata refunds. Annual subscriptions may be eligible for a pro-rata refund for unused months at DokPath's sole discretion, except where cancellation arises from a material breach by DokPath.

Price Changes

DokPath reserves the right to modify subscription fees. We will provide at least 30 days' written notice of any price increase. Your continued use of the Service after the new price takes effect constitutes acceptance of the revised fees.

Free Trials

Where DokPath offers a free trial period, you will not be charged until the trial period expires. You may cancel during the trial period without charge. At the end of the trial, your account will automatically convert to a paid subscription unless cancelled.

7. Data Processing

Where DokPath processes personal data on your behalf in the context of providing the Service, we act as a data processor and you act as the data controller. Such processing is governed by our Data Processing Agreement (DPA), which forms part of these Terms and is available upon request at legal@dokpath.com.

Zero AI Training Policy: Customer documents, queries, and interaction data are never used to train, fine-tune, or otherwise improve AI models. See our Privacy Policy for full details.
Multi-tenant Isolation: Each customer's data — including uploaded documents, vector embeddings, and audit logs — is stored in isolated, customer-specific environments. Cross-tenant data access is architecturally prevented.
Encryption: All data is encrypted in transit (TLS 1.3) and at rest (AES-256). Offline vault data is encrypted at the device level.

8. Limitation of Liability

Exclusion of Indirect Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOKPATH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF DOKPATH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap on Direct Liability

DOKPATH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY DIRECT DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO DOKPATH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Express Exclusions for Critical Industry Use

Without limiting the foregoing, DokPath expressly excludes all liability arising from or related to:

  • ▪ Any maintenance action taken without independent human verification against the approved source document
  • ▪ Use of outdated, incorrect, or unapproved source documents uploaded by the customer
  • ▪ Errors, omissions, or ambiguities in the original manufacturer's documents or OEM data
  • ▪ Connectivity failures, data loss, or synchronisation errors in offline mode
  • ▪ Actions taken based on AI-generated outputs without cross-referencing the cited source document and page
  • ▪ Any regulatory non-compliance resulting from the customer's failure to maintain current approved data

Jurisdictional Note: Some jurisdictions do not permit the exclusion or limitation of liability for death, personal injury caused by negligence, fraud, fraudulent misrepresentation, or gross negligence. Nothing in these Terms shall limit DokPath's liability to the extent such limitation is prohibited by applicable mandatory law.

9. Indemnification

You agree to defend, indemnify, and hold harmless DokPath Inc. and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service in violation of these Terms, including any violation of the Acceptable Use Policy;
  • Any maintenance action taken based on DokPath outputs without independent verification against the approved source document;
  • Documents uploaded to the Service that infringe a third party's intellectual property rights;
  • Your violation of any applicable law, regulation, or third-party right.

10. Intellectual Property

DokPath Platform: DokPath Inc. retains all right, title, and interest in and to the DokPath platform, including all software, algorithms, AI models, user interfaces, documentation, and brand elements. No licence to the platform's underlying technology is granted beyond the right to use the Service as expressly set forth in these Terms.

Customer Content: You retain all right, title, and interest in and to the documents, data, and content you upload to the Service ("Customer Content"). DokPath does not acquire any ownership rights over Customer Content. You grant DokPath a limited, non-exclusive licence to process Customer Content solely as necessary to provide the Service to you.

No Training Licence: The limited licence granted above explicitly excludes any right to use Customer Content to train, fine-tune, or develop AI models. This restriction applies to DokPath and to all sub-processors acting on its behalf.

Feedback: If you provide suggestions, feedback, or ideas regarding the Service ("Feedback"), you grant DokPath a perpetual, irrevocable, royalty-free licence to use such Feedback for any purpose, without obligation of compensation or attribution.

11. Confidentiality

DokPath treats all Customer Content — including uploaded technical documents, maintenance manuals, procedures, and associated metadata — as confidential information. DokPath agrees to:

  • Not disclose Customer Content to any third party except sub-processors acting under equivalent confidentiality obligations and as required by applicable law;
  • Not use Customer Content for any purpose other than providing the Service;
  • Not use Customer Content to train, fine-tune, or improve AI models (Zero AI Training Policy);
  • Implement and maintain appropriate technical and organisational security measures to protect Customer Content against unauthorised access, disclosure, or loss.

12. Termination

Termination by You: You may terminate your subscription at any time. See Section 6 (Subscription Plans) for the cancellation and refund policy.

Termination by DokPath: DokPath may suspend or terminate your access to the Service immediately upon written notice if: (a) you materially breach these Terms and fail to cure the breach within 15 days of notice; (b) you fail to pay applicable fees; (c) you use the Service in a manner that poses a risk to the safety of the platform or other customers; or (d) continued provision of the Service would violate applicable law.

Grace Period and Data Export: Upon termination for any reason other than a breach of the Acceptable Use Policy, DokPath will provide a 30-day grace period during which you may export your data through the platform's standard export tools.

Data Deletion: Following the grace period, or upon your written request, DokPath will delete all Customer Content (uploaded documents, embeddings, and associated data) from its systems within 30 days. Audit logs required to be retained under applicable regulatory obligations (see Privacy Policy, Section 5) will be retained for the applicable mandatory period.

13. Governing Law & Dispute Resolution

The governing law applicable to these Terms depends on the location of the contracting entity:

Each party irrevocably submits to the exclusive jurisdiction of the courts of the applicable venue. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Changes to Terms

DokPath reserves the right to update or modify these Terms at any time. We will notify you of material changes — those that significantly affect your rights or obligations — by email at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Service before the effective date. The current version of these Terms is always available at dokpath.com/terms.
